1. Acceptance of Terms

Welcome to BetMe. These Terms of Service ("Terms") govern your use of the BetMe website and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms.

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and HICO Ventures, LLC, doing business as BetMe ("BetMe," “we," “us," or “our”), concerning your access to and use of the http://www.getbetme.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Responsible Gaming

The BetMe platform facilitates peer-to-peer contests, allowing users to place wagers, either for bragging rights or other mutually agreed to terms, against each other rather than against the house. BetMe provides a platform for these transactions but is not a participant in the contests. Users are responsible for setting their terms within the guidelines of the platform and must conduct all activities in a fair and honest manner. Disputes between users related to peer-to-peer contests are in no way moderated by the platform, except for situations which user activity is in conflict with these terms and conditions. 

BetMe is committed to responsible gaming and the prevention of gambling addiction. We provide tools and resources to help manage gambling behavior and ensure a safe, controlled environment for our users. 

• Age Restrictions: Users must be of legal gambling age in their jurisdiction to participate in any gaming activities offered by BetMe.

• Awareness and Education: While BetMe is not a gambling platform, to aid our users, information and resources are provided to help users understand the risks associated with gambling, recognize the signs of problem gambling, and learn how to gamble responsibly.

• No Encouragement of Excessive Gaming: BetMe discourages excessive or compulsive activity in all forms. Our platform monitors user activity and provides alerts or interventions if excessive behavior is detected.

• Certain Moderation: BetMe strictly prohibits users from engaging in contests or use BetMe in any way which risks physical harm to themselves or others. As such, certain contests will be rejected within the context of our User Conduct and Safety policy defined further below. 

BetMe encourages all users to be responsibly and to seek help if they feel that their behavior is adversely affecting their lives or the lives of those around them. Responsible activity is a cornerstone of our community, and we are committed to providing a supportive and safe environment for all our users.

3. Account Management

Users must register for an account to participate in BetMe's Services. Account registration requires accurate and up-to-date personal information. Users are responsible for maintaining the confidentiality of their account information, including passwords. BetMe reserves the right to suspend or terminate accounts that are found to be in violation of our Terms, involved in fraudulent activities, or otherwise pose a risk to the integrity of our platform.

a) Proof of Age: you represent and warrant that you are 18 years of age or over. We reserve the right, at any time, to ask you for identity documents to verify your age. You agree that we may suspend your Account, until satisfactory identity documents are provided.  If we identify, or have a reasonable suspicion, that you may be under the age of 18, your Account may be suspended or permanently closed.

(b) Legal Capacity: you represent and warrant that you are of sound mind, capable of taking responsibility for your own actions and capable of entering into a legally binding agreement with BetMe.

(c) Poof of Identity and Accurate Information: you confirm that you are the person whose details are provided in connection with the opening of your Account. We reserve the right to request that you provide proof of identity, residence or other verification information or documentation when you register for an Account. You agree to provide accurate information at the time of registration, including without limitation, your correct full name, date of birth, residential address, contact details and driver’s licence and you agree to inform us of any changes to such details. You agree to provide all such information or documentation as we require so that we may complete these verification checks.  You understand and agree that, as part of the registration process, BetMe may disclose your information to authorized verification identity agencies to confirm your identity.  If we are unable to verify your identity, you will not be able to use our services, until we are able to sufficiently verify your identity. The BetMe registration process will only be completed once your identity has been verified.

4. User Conduct and Safety

As a condition of use, you agree not to use the Services for any purpose that is unlawful or prohibited by these Terms, or any other purpose not reasonably intended by BetMe. By way of example, and not as a limitation, you agree not to:

• Use of our service to incite violence, criminal activities, or any other form of harmful conduct is expressly forbidden. This includes the sharing or promotion of content or communication that encourages, glorifies, or assists in any form of violence or harm against individuals or groups, including harm against themselves.

• Abuse, harass, impersonate, intimidate, or threaten other BetMe users. We strictly prohibit any form of hate speech, including language or content that discriminates against individuals or groups based on race, ethnicity, national origin, sex, gender, sexual orientation, religious affiliation, disabilities, or diseases.

• Use of our service to incite violence, criminal activities, or any other form of harmful conduct is expressly forbidden. This includes the sharing of content or communication that encourages, glorifies, or assists in any form of violence or harm against individuals or groups.

• Post or transmit, or cause to be posted or transmitted, any content that is infringing, libelous, defamatory, abusive, offensive, obscene, pornographic or otherwise violates any law or the right of any third party.

• Use the Service for any unauthorized purpose, or in violation of any applicable law, including intellectual property laws.

• Post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain passwords, accounts, or private information from any BetMe users.

• Create or submit unwanted email ("Spam") to any other BetMe users.

• Infringe upon the intellectual property rights of BetMe, its users, or any third party.

• Post, email, transmit, upload, or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.

• Use any robot, spider, scraper, sniping software or other automated means to access the Service for any purpose without our express written permission. Furthermore, you agree not to: (1) take any action that imposes, or may impose in our sole discretion an unreasonable or disproportionately large load on our infrastructure; (2) interfere or attempt to interfere with the proper working of the Service or any activities conducted on the Service; or (3) bypass any measures we may use to prevent or restrict access to the Service.

• Advertise to, or solicit, any user to buy or sell any products or services, or use any information obtained from the Service to contact, advertise to, solicit, or sell to users without their prior explicit consent.

Violation of these rules may result in the removal of your content from the Service, forfeiture of winnings, and/or the cancellation of your account. You acknowledge and agree that BetMe may remove any User Content and terminate any BetMe account at any time for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such User Content). 5. Mobile Application License

Use License. If you access the Site via a mobile application, BetMe grants you a revocable, non-exclusive, non-transferable, limited right to install and use the mobile application on wireless electronic devices owned or controlled by you. Your access and use of the mobile application must be in strict accordance with the terms and conditions of this mobile application license contained within these Terms of Use. You shall not: (1) decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the application, except as permitted by applicable law; (2) make modifications, adaptations, improvements, enhancements, translations, or derivative works from the application; (3) violate any applicable laws, rules, or regulations in connection with your access or use of the application; (4) remove, alter, or obscure any proprietary notices posted by BetMe or the licensors of the application; (5) use the application for any revenue-generating endeavor, commercial enterprise, or other purposes for which it is not designed or intended; (6) make the application available over a network permitting access or use by multiple devices or users simultaneously; (7) use the application to create a product, service, or software that is directly or indirectly competitive with or substitutive for the application; (8) use the application to send automated queries to any website or send any unsolicited commercial e-mail; or (9) use any proprietary information or interfaces of BetMe or other intellectual property in the design, development, manufacture, licensing, or distribution of any applications, accessories, or devices for use with the application.

Apple and Android Devices. The terms below apply when you use a mobile application obtained from the Apple Store or Google Play ("App Distributor") to access the Site: (1) the license granted to you for the BetMe mobile application is limited to a non-transferable license to use the application on a device that utilizes the Apple iOS or Android operating systems, in accordance with the usage rules set forth in the applicable App Distributor’s terms of service; (2) BetMe is responsible for providing any maintenance and support services for the mobile application as required under applicable law, and you acknowledge that each App Distributor has no obligation to furnish any maintenance and support services for the mobile application; (3) in case of any failure of the mobile application to conform to any applicable warranty, you may notify the respective App Distributor, and the App Distributor, in accordance with its terms and policies, may refund the purchase price, if any, paid for the mobile application, with no other warranty obligation whatsoever with respect to the app; (4) you represent and warrant that (i) you are not located in a country subject to a U.S. government embargo, or designated by the U.S. government as a “terrorist-supporting” country, and (ii) you are not listed on any U.S. government list of prohibited or restricted parties; (5) you must comply with applicable third-party terms when using the mobile application; (6) you acknowledge and agree that App Distributors are third-party beneficiaries of the terms and conditions in this mobile application license, with the right to enforce these terms against you as a third-party beneficiary thereof.

6. Skill Based Contests

BetMe legally operates as a "game of skill" application. This allows us to operate in most, but not all, states across the United States. We have implemented geolocation services within the app to ensure that only users in states where we can legally operate can actually access our app. While we make best-efforts to ensure that we are compliant with all local/state/federal laws, we cannot guarantee that our efforts are always enough. You, the user, are responsible for ensuring that your use of the app complies with your local laws.

7. Custom Contests

BetMe Users have the ability to create custom contests, which sometimes result in uneven terms and payouts for the participating parties. BetMe takes a best-efforts-approach to highlight these custom/specific contests to the user, but the responsibility ultimately lies with each user to double check the terms before accepting the terms of the contest. BetMe will not be held liable for any monetary damages a user who accepts, and subsequently participates in, a custom contest with uneven terms and payouts feels that they're entitled to, as unfair as the terms may be. The responsibility of understanding BetMe's peer-to-peer contests (i.e. terms, payouts, etc.) lies on each user, and BetMe encourages users to not participate in custom contests if they do not understand the nature of the contest, do not know the participating party, or other unknown circumstances. 

8. Intellectual Property Rights

The content featured on the Website, including but not limited to text, software, scripts, graphics, photos, sounds, music, videos, interactive features, trademarks, service marks, and logos (referred to as the "Intellectual Property"), is either owned by or licensed to BetMe. These materials are protected by copyright and other intellectual property rights under both United States and foreign laws and international conventions. The Content on the Website is provided "AS IS" for your personal use and information, and may not be utilized, copied, reproduced, distributed, transmitted, broadcasted, displayed, sold, licensed, or otherwise exploited for any purposes other than those expressly permitted with the prior written consent of the respective owners. BetMe reserves all rights not expressly granted in relation to the Website and the Intellectual Property. You agree not to engage in the use, copying, or distribution of any Intellectual Property beyond what is expressly permitted in this agreement. In the event of downloading or printing a copy of Intellectual Property for personal use, all copyright and other proprietary notices contained therein must be retained. You also agree not to circumvent, disable, or interfere with security-related features of the Website or features that prevent or restrict the use or copying of any Intellectual Property or the enforcement of limitations on the use of the Website or Intellectual Property.

9. Reporting and Enforcement

Users can report any violations of these Terms. BetMe will review and take necessary actions. BetMe may cooperate with authorities in legal matters.

1. Users are encouraged to report any instances of prohibited conduct or content that violate these guidelines. BetMe will take appropriate actions based on such reports, which may include content removal, account suspension, or termination, in line with our enforcement policies.

2. BetMe reserves the right to cooperate with law enforcement authorities in the investigation and prosecution of any criminal or civil matter.

10. Indemnification

You agree to release and to indemnify, defend and hold harmless BetMe and its parents, subsidiaries, affiliates and agencies, as well as the officers, directors, employees, shareholders and representatives of any of the foregoing entities, from and against any and all losses, liabilities, expenses, damages, costs (including attorneys’ fees and court costs) claims or actions of any kind whatsoever arising or resulting from your use of the Service, your violation of these Terms of Use, your receipt, ownership, use or misuse of any prize, and any of your acts or omissions that implicate publicity rights, defamation or invasion of privacy. BetMe reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you and, in such case, you agree to cooperate with BetMe in the defense of such matter.

1. Users are solely responsible for their conduct on the BetMe platform and may be held liable for any violations of these terms or applicable laws.

2. By agreeing to these Terms of Service, users indemnify BetMe against any claims, damages, losses, or legal fees incurred due to their non-compliance with these guidelines.

Your ownership rights over User Submissions are respected. Should you have owned a User Submission prior to providing it to us, you will continue to own it after the provision, while being subject to the rights granted in the Terms of Service and any authorized access by others. Deleting a User Submission from the Services will terminate our general license to that submission after a reasonable period for the deletion's full effect. However, the User Submission may persist in our backup copies, which are not publicly accessible. Shared User Submissions with third parties might still be retained by them. Additionally, if we utilized your User Submission before its deletion, we retain the right to make, duplicate, redistribute, and sublicense those pre-existing uses even after deletion. It's important to note that terminating your account on a Service won't automatically erase your User Submissions.

By participating in any Contest on the Website, you agree to indemnify, defend, and hold harmless BetMe, its parents, subsidiaries, affiliates, and divisions, as well as their directors, officers, employees, agents, and representatives (referred to as the "BetMe Entities"). This defense covers all third-party claims, liabilities, losses, damages, injuries, demands, actions, proceedings, suits, causes of action, judgments, and expenses, including attorneys' fees and other legal expenses arising from or connected to your use of the Website, payment methods used, funding your account, or participating in any Contest.

BetMe does not control or take responsibility for the content, privacy policies, or practices of third-party websites linked on the Website. You relieve BetMe from liability arising from your use of third-party websites. It's advised to be cautious when leaving the Website and to review the terms, conditions, privacy policies, and practices of other websites.

The Terms of Service do not establish or confer any rights or benefits in favor of third parties, except as explicitly stated.

Nothing in the Terms of Service shall create a partnership, agency, trust arrangement, fiduciary relationship, or joint venture between you and BetMe. No professional or amateur sports league or any team associated with any professional or amateur sports league is affiliated with or associated with BetMe or its Contests. Third-party online publishers that refer users to the BetMe website shall not be responsible or liable for the BetMe website or any of its content, software, functions, or materials.

In case any provision of these Terms is deemed unenforceable, such provision will be ineffective but won't affect the enforceability of the remaining provisions. Parties agree that the unenforceable provision may be revised by the forum presiding over any dispute, aiming to honor the parties' intent and align with the agreement's overall purpose, replacing it with an enforceable provision that comes closest to the original intention.

11. Limitation on liability

YOU ACKNOWLEDGE AND AGREE THAT YOU ASSUME FULL RESPONSIBILITY FOR YOUR USE OF THE SITE AND SERVICE. YOU ACKNOWLEDGE AND AGREE THAT ANY INFORMATION YOU SEND OR RECEIVE DURING YOUR USE OF THE SITE AND SERVICE MAY NOT BE SECURE AND MAY BE INTERCEPTED OR LATER ACQUIRED BY UNAUTHORIZED PARTIES. YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SITE AND SERVICE IS AT YOUR OWN RISK. RECOGNIZING SUCH, YOU UNDERSTAND AND AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER BETME NOR ITS SUPPLIERS OR LICENSORS WILL BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY OR OTHER DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER TANGIBLE OR INTANGIBLE LOSSES OR ANY OTHER DAMAGES BASED ON CONTRACT, TORT, STRICT LIABILITY OR ANY OTHER THEORY (EVEN IF BETME HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM THE SITE OR SERVICE; THE USE OR THE INABILITY TO USE THE SITE OR SERVICE; UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SITE OR SERVICE; ANY ACTIONS WE TAKE OR FAIL TO TAKE AS A RESULT OF COMMUNICATIONS YOU SEND TO US; ANY INCORRECT, ILLEGIBLE, MISDIRECTED, STOLEN, INVALID OR INACCURATE INFORMATION; HUMAN ERRORS; TECHNICAL MALFUNCTIONS; FAILURES, INCLUDING PUBLIC UTILITY OR TELEPHONE OUTAGES; OMISSIONS, INTERRUPTIONS, LATENCY, DELETIONS OR DEFECTS OF ANY DEVICE OR NETWORK, PROVIDERS, OR SOFTWARE (INCLUDING, BUT NOT LIMITED TO, THOSE THAT DO NOT PERMIT AN ENTRANT TO PARTICIPATE IN THE SERVICE); ANY INJURY OR DAMAGE TO COMPUTER EQUIPMENT; INABILITY TO FULLY ACCESS THE SITE OR SERVICE OR ANY OTHER WEBSITE; THEFT, TAMPERING, DESTRUCTION, OR UNAUTHORIZED ACCESS TO, OR ALTERATION OF, ENTRIES, IMAGES OR OTHER CONTENT OF ANY KIND; DATA THAT IS PROCESSED LATE OR INCORRECTLY OR IS INCOMPLETE OR LOST; TYPOGRAPHICAL, PRINTING OR OTHER ERRORS, OR ANY COMBINATION THEREOF; OR ANY OTHER MATTER RELATING TO THE SITE OR SERVICE. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, BETME'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO BETME FOR GENERAL USE OF THE SITE OR SERVICE DURING THE TERM OF YOUR REGISTRATION FOR THE SITE, NOT INCLUDING ANY ENTRY FEES FOR CONTESTS COMPLETED PRIOR TO THE CIRCUMSTANCES GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

12. Ownership Rights

Certain Services provided may enable you to submit or transmit audio, video, text, or other materials (collectively referred to as "User Submissions") to or through the Services. By providing User Submissions, you grant BetMe, along with its parents, subsidiaries, affiliates, and partners, a non-exclusive, worldwide, royalty-free, fully sublicensable license to use, distribute, edit, display, archive, publish, sublicense, perform, reproduce, make available, transmit, broadcast, sell, translate, and create derivative works from those User Submissions. This license also extends to your name, voice, likeness, and other identifying information associated with User Submissions. This license encompasses any form, media, software, or technology presently known or developed in the future. It applies to activities such as developing, manufacturing, and marketing products. By granting this license, you waive any moral rights that may pertain to your User Submissions.

13. Intellectual Property

BetMe places importance on respecting the intellectual property rights of others. If you own a copyright and believe that your work has been used in the Services in a way that constitutes copyright infringement, please provide our Copyright Agent with a DMCA notice meeting the outlined requirements. Remember that filing a DMCA notice should consider whether the copyrighted material's use is protected under the Fair Use doctrine. Incorrect DMCA claims could lead to liability for costs and attorneys' fees.

14. Trademarks

BetMe trademarks and other marks on the Website are owned by BetMe in the United States and/or other countries. Trademarks, trade names, product names, and logos of third parties are the property of their respective owners. You are not allowed to alter or remove any trademarks, trade names, product names, logos, copyright notices, legends, symbols, or labels on the Website, unless expressly permitted.

15. User Data

We will maintain certain data that you transmit to the Site for the purpose of managing the performance of the Site, as well as data relating to your use of the Site. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Site. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

16. Governing Law and Jurisdiction

These Terms of Service and all Services will be construed and governed by the laws of the State of Arizona, excluding its conflict of law rules. Parties further agree that the exclusive jurisdiction over any permissible judicial action initiated under these terms shall rest with state or federal courts in the State of Arizona. Parties hereby consent to the personal jurisdiction of these courts and waive the right to object to the forum due to inconvenience. Furthermore, parties waive any right to trial by jury concerning such proceedings.

17. Severability and Waiver

No waiver of any term in the Terms of Service shall be seen as a waiver of such term or any other term. BetMe's failure to assert any right or provision under these Terms of Service will not be seen as a waiver of such right or provision.

18. Force Majeure

BetMe is not liable for its failure to comply with any provision of these Terms due to force majeure events, which include acts of God, war, fire, riot, earthquake, terrorism, acts of public enemies, actions of governmental authorities beyond the Company's control (excepting compliance with applicable codes and regulations), or other unforeseeable events.

19. Entire Agreement 

These Terms and conditions, Customer Terms and any other terms which may be published on the Website or App from time to time, represents the entire agreement between us in relation to the subject matter of any contract and our provision of the Services to you.
